By accessing or using ClinWell's healthcare management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

ClinWell provides a healthcare management platform designed for medical practices and healthcare providers. Our services include:

  • Communication tools

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

4. Healthcare Compliance

As a healthcare software provider, we are committed to compliance with applicable healthcare regulations including:

  • UK General Data Protection Regulation (UK GDPR)
  • Data Protection Act 2018
  • NHS Data Security and Protection Toolkit
  • Care Quality Commission (CQC) standards where applicable

Users are responsible for ensuring their own compliance with applicable healthcare regulations when using our Service.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any laws, regulations, or third-party rights
  • Upload or transmit malicious code or content
  • Interfere with or disrupt the Service or servers

7. Data Ownership

You retain all rights to your data. By using our Service, you grant us a limited licence to process your data solely for the purpose of providing the Service. We will not sell, share, or use your data for any other purpose without your explicit consent.

8. Service Availability

We strive to provide 99.9% uptime for our Service. However, we do not guarantee that the Service will be available at all times. We may suspend or terminate the Service for maintenance, updates, or other reasons.

9. Limitation of Liability

To the maximum extent permitted by law, ClinWell shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses.

ClinWell is a software tool to assist healthcare providers. It is not a substitute for professional medical judgement. Healthcare providers are responsible for all clinical decisions made using the Service.

10. Indemnification

You agree to indemnify and hold harmless ClinWell and its directors, officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may request export of your data prior to termination in accordance with our data portability obligations under UK GDPR.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
